We reserve the right to modify, suspend, or discontinue any aspect of our services at any time.

3. Client Responsibilities

As a client, you agree to:

• Provide accurate and complete information for your project
• Respond promptly to our communications and requests
• Provide necessary assets, materials, and access required for the project
• Make timely payments as agreed upon in the contract
• Review and provide feedback on deliverables within agreed timelines
• Respect intellectual property rights and confidentiality obligations

4. Project Engagement Terms

4.1 Quotations and Proposals

All quotations and project proposals are valid for 30 days unless otherwise stated. Prices are based on the scope outlined and may vary if requirements change.

4.2 Payment Terms

• A deposit (typically 30-50%) is required to commence work
• Progress payments may be required based on project milestones
• Final payment is due upon project completion before handover
• Payment methods include bank transfer, credit card, or other agreed methods
• Late payments may incur interest or delay project delivery

4.3 Project Timeline

Project timelines are estimates based on the agreed scope. Delays may occur due to client feedback cycles, change requests, or force majeure events. We are not liable for damages caused by reasonable delays.

4.4 Revisions and Changes

The scope includes a specified number of revision rounds. Additional changes outside the original scope will be billed at our hourly rates or via change orders.

5. Intellectual Property Rights

5.1 Your Content

You retain ownership of any content, materials, and information you provide to us. You grant us a license to use these materials solely for the purpose of delivering our services.

5.2 Our Work Product

• Upon full payment, you receive ownership of custom-developed code and designs specific to your project
• We retain rights to our pre-existing frameworks, libraries, and reusable code components
• We reserve the right to showcase your project in our portfolio (unless agreed otherwise)
• Third-party licenses (open source, paid libraries) remain subject to their original terms

5.3 Code Products & Templates

For pre-made code products and templates, you receive a license to use the code in your projects. You may not resell, redistribute, or claim ownership of our base code products.

6. Confidentiality

Both parties agree to maintain confidentiality of:

• Business information, strategies, and trade secrets
• Technical specifications, code, and documentation
• Client data and user information
• Financial information and pricing details

This obligation survives the termination of our business relationship.

7. Warranties and Disclaimers

7.1 Our Warranties

We warrant that:

• Services will be performed with reasonable care and skill
• Deliverables will conform to agreed specifications
• Services will be delivered within commercially reasonable timeframes

7.2 Disclaimers

Except as expressly stated, we provide no warranties:

• Services are provided "as is" without warranties of any kind
• We do not guarantee uninterrupted or error-free operation
• We are not responsible for third-party services, APIs, or platforms
• We do not warrant that our services will meet all your requirements

8. Limitation of Liability

To the fullest extent permitted by law:

• Our total liability is limited to the amount paid for the specific service
• We are not liable for indirect, incidental, special, or consequential damages
• We are not liable for lost profits, data loss, or business interruption
• These limitations apply even if we have been advised of possible damages

9. Termination

9.1 Termination by Client

You may terminate the project at any time. You will be responsible for payment for all work completed and materials purchased up to the termination date, plus a cancellation fee as outlined in your project agreement.

9.2 Termination by AfriNuad

We may terminate our services if: you breach these terms, fail to make payments, provide false information, or engage in misconduct. You will be charged for work completed up to termination.

10. Support and Maintenance

Support and maintenance terms vary by project:

• Bug fixes are typically provided for 30 days after project completion
• Ongoing maintenance requires a separate agreement
• Response times depend on the severity of issues
• Third-party services and integrations may have separate support terms

11. Indemnification

You agree to indemnify and hold harmless AfriNuad from any claims, damages, losses, or expenses arising from: your use of our services, your breach of these terms, or your violation of any third-party rights.

12. Dispute Resolution

12.1 Governing Law

These terms are governed by the laws of Bangladesh. Any disputes will be resolved in the courts of Bangladesh.

12.2 Amicable Resolution

13. General Provisions

• Entire Agreement: These terms constitute the entire agreement between you and AfriNuad
